I run "mrtgsvc.exe" and it does not have annoying popup windows.  All I did
was remove the "Allow Service to Interact with the Desktop" check and it
works great.

As Karen Marino said, firedaemon is absolutely ok. I use it on W2000 and NT4
and bye bye all these annoying pop up cmd windows. You should really check
www.firedaemon.com it's rather easy to implement!
