[mrtg] mrtg-2.9.4 on winNT

I'm running mrtg 2.9.4 on a Windows NT Server 4.0, pulling information off a
Cisco router.  The problem is this:

The job is started as suggested in the winNT mrtg documentation, a batch
file in the StartUp folder with the following line:

    start /B perl e:\mrtg-2.9.4\bin\mrtg e:\mrtg-2.9.4\bin\mrtg.cfg

and the standard <RunAsDaemon: yes> line is inserted into the mrtg.cfg file.
Unfortunately, every five minutes a series of ms-dos command windows parades
across the screen.  The title bar says <e:\mrtg-2.9.4\bin\rateup.exe>.  Does
anybody know why this happens?
