I don't know if this will help however the first thing I would do is
removing any spaces around this line.

In stead of "   WorkDir: D:\InetPub\MRTG\Data " this should read
"WorkDir: D:\InetPub\MRTG\Data"

Then, if this didn't help, try playing a bit with escape characters.
Try "WorkDir: D:\\InetPub\\MRTG\\Data"
and "WorkDir: D\:\\InetPub\\MRTG\\Data"
and similar changes.

Also make sure the file doesn't contain any hidden control characters.

Last but not least, when you find a solution let us (the list), or
me (yours truly), know about it so the collective memory (the faq)
can be updated.
