RunAsDaemon: Yes in the .cfg file fixed the problem.

Are you running it as a Daemon?  Is there anything in the event viewer?

I was having the same thing happen (on WinNT), found that I had set the
services up, but hadn't set the RunAsDaemon: Yes option in the .cfg file.

Also, if there are any errors that cause it to try and shut down, the system
keeps trying until it kills it.

We have MRTG 2.9.17 installed on Win2K with ActivePerl vers 5.6.1 build
628
 
It is working fine accept that the CPU jumps to 100% every few seconds.
The
perl.exe is the file which does this. It only happens when MRTG is
started.
