They are EXACTLY THE SAME.
well maybe there are a few differences.
I have both units and I love them. They have the same feature sets in their 
IOS so they are equal in the terms of management and hey, they are just 
dumb layer 2 switches.
They only difference (other then port density) is the fact that the 3500XL 
series is a bit newer and a bit faster/more advanced. But that is about it. 
I usually get whichever is cheapest and will do the job.
Both have the CVSM web interface, they cluster nicely together, they have 
all the same feature sets in their IOS's. They are extremely similar.
